Jon’s principal area of practice is corporate and securities law with an emphasis on mergers and acquisitions and the representation of issuers and investment banks in connection with public and private offerings of equity and debt securities.
Jon also advises companies on corporate governance matters, periodic reporting and other requirements of the federal securities laws, the New York Stock Exchange, the NASDAQ Stock Market and other exchange rules.
Jon is a member of the firm’s Associate and Professional Development Subcommittee.
Representative Experience
- Representation of underwriters in connection with $305 million follow-on public offering of common units representing limited partner interests of NYSE listed, publicly-traded master limited partnership (MLP) (July 2008).
- Representation of NASDAQ listed drilling and marine services company in connection with $250 million private offering of convertible senior notes (June 2008).
- Representation of conflicts committee of a midstream MLP in connection with $734 million acquisition of the publicly-traded corporate owner of its general partner (February 2008).
- Representation of midstream MLP in connection with $750 million “dropdown” transaction and with related $349 million public offering of common units representing limited partner interests (December 2007).
- Representation of Special Committee of EGL, Inc., a publicly-traded company that initially entered into a going private transaction with a management-led group, but later terminated that agreement, paid a break-up fee and was acquired by CEVA, an affiliate of Apollo Management, for $2.3 billion (August 2007).
- Representation of NASDAQ listed drilling and liftboat services company in connection with $2.3 billion acquisition of NYSE listed provider of oil and gas drilling services (July 2007).
- Representation of E&P MLP in connection with formation and $120 million initial public offering of units representing limited partner interests (January 2007).
- Representation of NYSE listed pressure pumping and oilfield services company in connection with $250 million public offering of senior notes (May 2008).
- Representation of underwriters in connection with $208 million public offering of common units representing limited partner interests of NYSE listed midstream MLP (April 2008).
- Representation of underwriters in connection with $350 million public offering of senior notes of NYSE listed midstream MLP (April 2008).
- Representation of underwriters in connection with $1.5 billion public offering of three series of senior notes issued by NYSE listed midstream MLP (March 2008).
- Representation of underwriters in connection with $267 million equity offering by selling unitholders of midstream MLP (November 2007).
- Representation of underwriters in connection with private placement of $600 million floating rate senior notes due 2009 issued by development-stage natural gas pipeline joint venture (September 2007).
- Representation of underwriters in connection with private placement of $450 million 6.750% notes due 2037 issued by midstream MLP (September 2007).
- Representation of underwriters in connection with public offering of $500 million 5.85% senior notes due 2012 issued by midstream MLP (August 2007).
- Representation of investors in connection with $70 million PIPE offering by NYSE listed provider of natural gas contract compression services (July 2007).
- Representation of midstream MLP in connection with $1.22 billion “dropdown” transaction and with related public and private equity and 144A debt financing transactions (December 2006).
