Todd Strickler’s practice covers general corporate and securities matters with an emphasis on registered securities offerings, private placements and mergers and acquisitions, largely in the energy and natural resources industries.

Todd also counsels public companies in connection with periodic reporting, proxy solicitation, insider/ownership reporting, restricted stock sales and corporate governance issues.

Representative Experience

Recently, Todd represented the underwriters in a $1.1 billion initial public offering of an NYSE-listed company in the fertilizer industry.

He also represented an NYSE-listed well servicing company in the proposed multi-billion dollar acquisition of another NYSE-listed energy company and the subsequent termination of the agreement.

  • Representation of underwriters in a $232 million offering of limited partnership units by a publicly-traded energy logistics company (2008)
  • Representation of underwriters in a $226 million offering of common units by a selling unitholder of an NYSE-listed petroleum transportation, storage and distribution company (2007)
  • Representation of independent oil and gas exploration and production company in private placements of senior notes (aggregate value of $650 million) and subsequent registered exchange offers (2005-2007)
  • Representation of underwriters in a $175 million secondary offering of common stock by a NASDAQ-listed marine construction services company (2006)
  • Representation of independent oil and gas exploration and production company in $500 million acquisition of privately-held E&P company (2006)
  • Representation of NYSE-listed well servicing company in a $250 million initial public offering (2005) and a $225 million private placement of senior notes and subsequent registered exchange offer (2006)
  • Representation of underwriters in numerous debt and equity offerings by an NYSE-listed midstream energy company (aggregate value of $1.4 billion) (2005)
  • Representation of underwriters in a $400 million initial public offering of a publicly-traded GP partnership (2005)
