Vic's practice focuses primarily upon representing private equity and hedge funds (both as to their formation and the deployment of their capital), mergers and acquisitions, and general corporate finance matters.

Representative Experience

• Represent private equity funds in connection with their formation and numerous acquisition, “add-on” and sale transactions in private and public companies involved various industries, including manufacturing and sales, healthcare services, telecommunication services and aerospace services
• Represent US and offshore hedge funds in connection with their formation and numerous private investments in public equity (PIPE) transactions involving convertible debt, convertible preferred stock, warrants and related investments
• Represent various entities which “seed” US and offshore hedge funds in negotiating their economic arrangements with the hedge fund managers
• Represent numerous private companies in purchase and sale transactions and in obtaining venture capital and bank financings
• Represented two prominent non-profit Dallas-based hospitals in connection with their affiliation and ultimate sale to a Dallas-based state medical center.  This transaction was selected by the Dallas Business Journal as the "Best Non-Profit Deal of the Year”.
