Dahl has extensive experience representing clients in a range of domestic and international project development and financing transactions, with a particular emphasis on energy infrastructure projects, including wind and solar power facilities and gas-fired power plants. He primarily represents developers in all major aspects of the structuring, development, financing, acquisition and disposition of such projects, including the negotiation and drafting of financing and security agreements, credit support arrangements, joint development agreements, shareholder, partnership and LLC agreements, power purchase agreements, construction agreements, major equipment supply agreements, other project agreements, and stock and asset purchase and sale agreements. Dahl has significant experience advising on financing structures designed to utilize the U.S. Federal Production Tax Credit or the U.S. Treasury 1603 cash grant.
Representative Experience
- Represented developers in connection with the successful project financing of numerous renewable energy projects located throughout the United States and in Puerto Rico, including most recently:
- a 101.2 MW wind power project in Puerto Rico;
- an 80 MW wind power project in Idaho;
- a 124.5 MW wind power project in Idaho;
- a 14.5 MW solar project in Texas; and
- a 101.2 MW wind power project in California.
- Represented wind developers in the negotiation and execution of various power purchase agreements, including most recently:
- a 200 MW wind power PPA with Austin Energy pertaining to a Texas wind power project;
- a 200 MW wind power PPA with CPS Energy pertaining to a Texas wind power project; and
- a 75 MW wind power PPA with the Puerto Rico Electricity Power Authority pertaining to a Puerto Rico wind power project.
- Represented both buyers and sellers in connection with the acquisition and divestiture of numerous wind and solar development projects (both on an individual and a portfolio basis and in various stages of development).
- Currently advising on:
- the project financing of a utility-scale solar project in California;
- the acquisition of a renewable energy project in Maine;
- the acquisition of a renewable energy project in New York; and
- the sale of an equity interest in an operating wind project in Idaho.
