David is an Associate in the Corporate section of the Dallas office. David’s practice involves commercial real estate, including acquisition/disposition of fee and leasehold interests, mortgage loan originations, master lease agreements and sale-leaseback transactions, involving all types of commercial real estate: office, retail, hotel, restaurant, convenience/gas stations and industrial.

In addition, as a member of the firm’s Structured Finance and Securitization group, David is engaged in commercial mortgage, consumer receivables and other asset-based securitization due diligence and legal underwriting. He also works on residential and commercial real estate structured finance transactions, including term securitizations and warehouse facilities.

David is also involved in mergers and acquisitions, corporate governance and disclosure, business transactions and general corporate matters.

Prior to his legal career, David worked in the commercial real estate industry as an asset manager/workout specialist for distressed commercial real estate assets. He also served as a bond surveillance analyst for a proprietary trader of commercial mortgage-backed securities.

Representative Experience

  • Representation of the lender in the financing of the acquisition of 16 sports-themed, chain-restaurants across the Mid-West
  • Representation of the lessee in a master lease agreement consolidating the operation of 34 gas stations/convenience stores and ten self-service fueling stations across Texas and New Mexico
  • Representation of the lender in the financing of an acquisition of 29 fast-food restaurants across five states
  • Representation of the Depositor/Mortgage Asset Seller/Sponsor in the issuance of commercial mortgaged-back securities
  • Representation of the lender in the financing of an acquisition of 20 family-themed, restaurants across 11 states in the southeastern United States
  • Representation of subprime and non-prime auto finance companies in structured warehouse financings and securitizations of auto receivables
  • Representation of an investment fund’s disposition of an international fasteners and tooling manufacturing company
