Erik's practice focuses on corporate and securities matters, primarily in the context of emerging growth companies in various industries. Erik's practice is transaction-centered, with a focus on mergers and acquisitions, private equity and debt offerings (including PIPE and venture capital financings) and public equity offerings. His experience includes representation of both acquirors and targets in a variety of business combination transactions, as well as issuers, underwriters and venture capital firms in public and private securities offerings. Erik's experience also includes advising companies and boards of directors with respect to corporate governance and fiduciary duties.
Representative Experience
- Represented a biodiesel company in the acquisition of refining facilities, the arrangement of $65 million in working capital and capital expenditure creditor facilities, and the issuance of $20 million of equity securities in connection with such acquisitions
- Represented an internet marketing company in the acquisition of a cosmoceutical company, financed by the issuance of debt and equity securities
- Represented a private security technology company in its acquisition by a subsidiary of General Electric
- Represented a land development and home building company in a $16.25 million public offering
- Represented a land development and home building company in $10 million issuance of Convertible Notes
- Represented a land development and home building company in $7 million issuance of Convertible Notes
- Represented companies and investors in a variety of technology sector venture capital financings, as well as private placements of debt securities.
