Giji's practice focuses on domestic and international project development and finance. He has extensive experience representing project developers and municipal utilities through development, sales and acquisitions, joint ventures and financings. His representation has included clients in the renewable energy industry as well as in oil & gas, power distribution, transportation, aviation and ports. His prior experiences include secondment to International Finance Corporation, where he worked on multi-currency corporate financings, project financings and equity investment relating to infrastructure projects in developing countries.
Representative Experience
The following represents experience prior to joining Andrews Kurth:
Renewables
- Represented domestic developers in US$ 375 million portfolio financing and approximately US$ 300 million portfolio financing of wind farms.
- Represented domestic developer in US$ 230 million financing of a wind farm.
- Represented multilateral development bank in the Indian Rupee equivalent of US$ 15 million corporate and project financing (including certified emission reduction credit financing) to small- and mini-hydroelectric IPPs in India.
- Represented domestic wind and solar developers in negotiating power purchase agreements for over 1 GW of nameplate capacity.
- Represented a domestic municipal utility in the acquisition and long-term operations and maintenance of 53 MW of thermal energy storage units.
- Represented domestic developers in the purchase and sale of over 1 GW of wind farms.
- Represented a domestic municipal utility in negotiating carbon-free long-term synthetic transmission agreements (physical and financial hedges) for approximately 410 MW of its renewable electricity generation.
Electricity
- Represented independent power producer in the development and financing of approximately 485 MW natural gas-fired, combined-cycle plant in Brazil.
- Represented multilateral development bank in the Philippine Peso equivalent of US$ 15 million corporate financing to electric distribution company in the Philippines.
- Represented multilateral development bank in the EUR 140 million corporate financing to two electric distribution companies in Romania.
- Represented multilateral development bank in the US$ 4.5 million project financing to hydroelectric independent power producer in Tajikistan.
- Represented domestic developer in the acquisition of approximately 400 MW of long-term electric transmission capacity.
Oil and Natural Gas
- Represented domestic natural gas storage company in negotiating its long-term pad gas lease arrangements and related swaps for a 10.2 Bcf storage facility.
- Represented multilateral development bank in the EUR 40 million off-shore equity investment in two gas distribution companies in Romania.
- Represented domestic oil and natural gas company in US $3.8 billion Rule 144(a) offering, securing its oil and gas producing properties in the coastal United States and the Gulf of Mexico.
Transportation and Other Infrastructure
- Represented multilateral development bank in the US$ 50 million corporate financing to commercial airline in Brazil.
- Represented multilateral development bank in the restructuring of US$ 14 million corporate and project financing to rail company in Chile.
- Represented multilateral development bank in the Indian Rupee equivalent of US$ 25 million project financing to reverse-osmosis desalination company in India.
- Represented multilateral development bank in the US$ 20 million project financing to mass transport company in Mexico.
- Represented multilateral development bank in the restructuring of US$ 20.5 million project financing to rail company in Mexico.
- Represented multilateral development bank in the EUR 14 million corporate financing to river shipping company in Romania.
- Represented multilateral development bank in the US$ 15 million quasi-equity investment to start-up airline in Russia.
- Represented multilateral development bank in the restructuring of US$ 35 million project financing to coastal port company in Sri Lanka.
