
Grace D. O'Malley
Associate
Grace’s practice consists of a broad range of financing transactions and corporate transactional work for the banking, real estate, energy and restaurant industries. Her experience includes secured lending transactions, commercial loans, project financings specializing in wind farms, workouts of loans, and asset and stock sales (domestic and foreign) for the oil and gas industry. Grace has also worked on the review and negotiation of commercial leases, the complex subdivision of large tracts of land, and title and survey reviews. Also, Grace has commercial litigation and arbitration experience.
Representative Experience
- Represented project company in the development and financing of multiple phases of its wind-generating facility located in Sweetwater, Texas, and its subsequent equity-take-outs
- Represented project company in the development and financing of its wind-generating facility located in Cedar Creek, Colorado
- Represented project company in the negotiation and drafting of various project documents for a wind-generating facility in Wisconsin
- Represented the developer in financings for the acquisition of wind turbines
- Represented project company in the development and financing of its wind-generating facility located in West Texas
- Represented the administrative agents in various credit agreements, and most recently represented administrative agents in connection with the negotiation of and implementation of defaulting lender provisions
- Represented offshore drilling company in numerous financings and the documentation and collateralization of the offshore rigs when they are delivered
- Represented the purchaser in the acquisition and financing of a natural gas treatment plant and related assets
- Represented the purchaser in the acquisition of foreign oil and gas assets
- Represented a group of restaurants in various financings and amendments thereto
