Jerry's practice covers a wide variety of general corporate and securities matters, including public offerings, private placements, mergers and acquisitions and joint venture transactions. Jerry also advises companies regarding compliance with reporting requirements of the federal securities laws, as well as general corporate governance matters.
Representative Experience
Recent deal experience includes:
- Representation of underwriters in connection with registered and private debt offerings, including recent offerings of notes in the aggregate principal amounts of $450 million, $365 million and $250 million
- Representation of underwriters in connection with a $70 million follow-on offering of common units representing limited partner interests of an NYSE-listed, publicly traded master limited partnership
- Representation of a public oil and gas drilling manufacturer in its $7.3 billion acquistion of another public company for cash and stock, and in a related exchange offer and solicitation relating to senior notes of the acquired company
