Mike’s practice focuses on corporate securities and finance with an emphasis on the representation of borrowers, issuers, sellers, servicers, monolines, investors and lenders in connection with public and private issuances of secured indebtedness, including securitizations and other structured financing transactions, asset-backed loans, senior-secured bank loans and syndicated bank loans collateralized by residential and commercial mortgage loans, commercial loans, automobile loans, equipment leases, residential construction loans, manufactured housing loans, consumer retail installment contracts, consumer revolving charge accounts, confirmations of originator’s fees (COOFs), asset-backed securities and other financial assets. Mike has also represented public and private companies in connection with workouts and debt restructuring, mergers and acquisitions, asset sales, debt and equity offerings and general corporate, limited partnership and limited liability company matters.

- Represented American Securitization Forum in connection with passage of Texas certificate of title legislation
- Represented equipment lease company in syndicated senior secured lending facility, structured warehouse financings and securitizations
- Represented electronics retailer in syndicated senior secured lending facility
- Represented national bank as lender in credit facility secured by quick service restaurant (QSR) franchise loans
- Represented hedge fund in structured warehouse credit facility secured by buy here, pay here (BHPH) auto loans
- Represented national banks as mortgage loan sellers in commercial mortgage-backed securitizations
- Represented national bank as purchaser in residential mortgage loan repurchase facilities
- Represented manufactured home finance company in securitization of manufactured housing and mortgage loans
- Represented hedge fund as lender in restructuring of motorcycle finance company debt
- Represented issuer in a consumer receivable master trust combined term and revolving credit facility securitization
- Represented international automotive company in acquisition of publicly-traded subprime auto finance company
- Represented publicly-traded auto finance company in acquisition by Capital One
- Represented monoline insurance company in Texas CAPCO debt issuance
