Philip’s practice covers general corporate and securities matters with an emphasis on securities offerings, in which he has represented both issuers and underwriters, and mergers and acquisitions. He has particular experience with master limited partnerships. Philip also advises clients in connection with SEC reporting and general corporate governance and compliance matters, including compliance with NYSE, NASDAQ and other exchange rules.

Representative Experience

Recently, Philip represented the underwriters in the $300 million initial public offering of an NYSE-listed midstream master limited partnership as well as the issuer in the $325 million initial public offering of an NYSE-listed interstate pipeline master limited partnership.

He also represented an NYSE-listed exploration and production company in its $3.6 billion acquisition of another publicly-traded exploration and production company (2007).
