Roy's practice includes the legal aspects of securities offerings, the regulation of public companies, mergers and acquisitions, venture capital and corporate finance. Roy has represented clients ranging from issuers and investment banking firms in registered securities offerings and private placements to venture capital clients in connection with fund formation and investments in portfolio companies. He has also represented sellers and buyers of businesses in a variety of industries, in situations involving auction sales as well as single-bidder transactions.
Roy has also advised clients on fiduciary duties involved in structuring and implementing reorganizations; represented clients in selling businesses in out-of-bankruptcy liquidations, and in Section 363 sales in bankruptcy; negotiated and prepared documents amending debt instruments; and advised on compliance with SEC tender offer rules in connection with debt restructuring and SEC registration rules in connection with rights offerings of issuer securities.
