• Represented an oil and gas investment fund in the acquisition out of Chapter 11 of substantially all the assets of an oil and gas company and its debtor affiliates with operations along the US Gulf Coast.

• Represented an oil and gas company in a multi-billion dollar joint venture to develop several hundred thousand acres in the Marcellus Shale.

• Represented an oil and gas company in a series of transactions to acquire a substantial acreage position in the Marcellus Shale.

• Advised the midstream division of a major oil and gas company in the sale of its interests in a strategic high-volume crude oil pipeline system and associated storage and terminating facilities.

• Advised a regional oil and gas exploration and development company in the sale of its interests in a gathering system in Mississippi.

• Represented a regional oil and gas exploration and development company in connection with the $79 million sale of the majority of its assets pursuant to its Chapter 11 reorganization.

• Represented a Russian oil and gas company in connection with the sale of its equity interest to U.S. oil and gas company and formation of joint venture to explore Siberia.
• Represented an investment fund in the Shari'ah-compliant financing of a portion of a $900 million upgrade of an oil refinery in Morocco.
• Represented an Indian exploration and production company in connection with the acquisition and financing of the Sakhalin field and various producing properties in Ecuador and Thailand.

• Represented an independent oil and gas company in connection with the acquisition and development of oil and gas acreage in Angola, Gabon, Ghana and Equatorial Guinea.
• Represented an international private equity fund in connection with the sale of a portfolio of oil and gas assets in Nigeria, Cote d'Ivoire and Chad.
• Represented a major independent oil and gas company in connection with the disposition of various oil and gas producing properties and subsidiaries located in Argentina, Brazil, Peru, Chile and Venezuela.
• Represented an independent oil and gas company in connection with the acquisition of exploration rights in Pakistan and Bangladesh.
• Represented an independent oil and gas producer in connection with the acquisition of oil and gas producing properties in Egypt, Algeria and Tunisia.
• Represented an international energy company in connection with the acquisition of a Latin American oil and gas company.
• Represented state oil companies and Western and Russian companies in connection with the development of Caspian Sea oil fields.
• Represented an independent oil and gas producer in connection with the disposition of oil and gas producing properties in the Gulf of Mexico.
• Represented various companies in connection with domestic onshore producing property acquisitions.
• Represented banks and financial buyers in connection with production payment acquisition and financings.

Infrastructure and Resource Development

• Represented several major international corporation in connection with the funding of landfill gas generation projects.
• Represented Prudential Capital Group and Lehman Brothers as equity investors in the $360 million White Creek renewable energy project in Washington state.
• Represented a state oil company in connection with the largest fully integrated gas to electricity project in Peru.
• Represented a project company in connection with the construction and financing of a 140 MW merchant power plant in the Dominican Republic.
• Represented a project company in connection with the construction and financing of a fertilizer plant in Trinidad & Tobago.
• Represented a project company in connection with the development of a crude oil pipeline and marine terminal in the Gulf of Mexico.

Additional Experience

• Represented the shareholders of the largest Russian oil field services company in connection with a sale of that company to Schlumberger.
• Represented drilling companies in connection with sale of drilling rigs.
• Represented private equity funds and independent power companies in connection the acquisition, disposition and financing of various power generation assets located in the U.S. and Latin America.
• Represented a Spanish gas company in connection with the acquisition and financing of a majority interest in a power plant and LNG terminal in Puerto Rico.
• Represented shareholders of a major gas pipeline system in the Gulf of Mexico in connection with the sale of that system to El Paso Corporation.
