Vic has a broad corporate and securities practice that focuses on a variety of matters. Vic has extensive experience in M&A transactions (for both buyers and sellers), including representing private equity funds and venture capital growth funds in M&A and corporate finance transactions. Vic also represents hedge funds and private equity funds in fund formation and governance matters.
Representative Experience
- Represents private equity funds in connection with acquisition, “follow-on” and sale transactions for portfolio companies involved in various industries, including manufacturing and sales, healthcare services, food products, oil and gas service companies and other service industries.
- Represents numerous private companies in obtaining venture capital and bank financings and in sale transactions to either industry or financial buyers, including representation of selling owners to private equity funds in negotiating the terms of retained ownership positions.
- Represents both investment funds and recipient public companies in private investments in public equity (PIPE) transactions involving convertible debt, convertible preferred stock, warrants and related investments.
- Represented two prominent nonprofit Dallas-based hospitals in connection with their affiliation and ultimate sale to a Dallas-based state medical center. This transaction was selected by the Dallas Business Journal as the "Best Non-profit Deal of the Year."
- Represents lead investors in forming Rangers Baseball Express that partnered with Nolan Ryan in acquiring the Texas Rangers Major League Baseball Franchise.
- Represents leading national waste management company in numerous M&A transactions.
