Adrian's practice focuses on public finance and public law matters.

In public finance matters, he serves as bond counsel, underwriters counsel and disclosure counsel for bonds for cities, counties, school districts, state agencies, university systems, transit authorities and special districts. He also has experience acting as counsel to banks providing credit and liquidity support for tax-exempt financings for municipal, healthcare and school district borrowers.

In public law matters, Adrian represents political subdivisions as general counsel, advising with respect to numerous issues, including development, procurement, elections, compliance, the Open Meetings Act and the Public Information Act.

Representative Experience

Adrian has extensive financing experience serving as bond counsel particularly with respect to transportation, utilities and water infrastructure, as detailed below:


  • Serves as special counsel and bond counsel to Harris County Metropolitan Transit Authority.
  • Bond counsel for approximately $1 billion in sales tax financings for transit authority.
  • Extensive experience negotiating transit authority’s credit facility renewals and/or replacements for $400 million credit facility (bond counsel).
  • $100 million sales tax contractual obligations for rolling stock, (bond counsel).
  • Bond counsel for approximately $1.2 billion in toll road financings for local county.


  • Special public finance counsel for public private partnership for a municipal utility system in the negotiation of a development and purchase agreement of a natural gas fired power plant with a private company.
  • Over 40 transactions and $3.2 billion in par amount as bond counsel for municipal combined utility system in a variety of bond financings: fixed rate, variable rate, negotiations of interest rate swaps, floating rate notes, and direct placements.
  • Extensive experience negotiating credit facility renewals and/or replacements for $700 million credit facility.

  • Designated disclosure counsel for City of Dallas, Texas (2014 - present).
  • $302.5 million Houston Independent School District Limited Tax and Schoolhouse and Refunding Bonds, Series 2013A and 2013C, (bond counsel).
  • $45.1 million and $15.6 million City of El Paso Downtown Development Corporation, Special Revenue Bonds, Series 2013A and 2013B, Downtown Ballpark Venue Project, (underwriters’ counsel).
  • $503.7 million City of Houston Airport System Subordinate Lien Revenue Refunding Bonds, Series 2012A, (underwriters’ counsel).
