Chrissy has a broad corporate/securities practice with a focus on private M&A transactions (representing both buyers and sellers), capital market transactions and SEC reporting and compliance. In addition, Chrissy regularly advises clients on corporate governance and other general corporate matters. Chrissy has represented a wide range of companies, from Dow 30 companies and Fortune 150 companies to small, privately-held companies, including start-ups. Chrissy has advised clients on a wide variety of matters, ranging from her clients’ daily operations to their most important financing and acquisition/disposition transactions.

Prior to joining the firm, Chrissy was a U.S. associate in the London office of one of the U.K.’s "Magic Circle" law firms where she represented issuers and underwriters in multi-jurisdictional equity and debt offerings. Chrissy also represented both purchasers and sellers in cross-border M&A transactions and advised clients on other general U.S. corporate matters, including SEC reporting and compliance.

Representative Experience


  • Represents private equity funds (including Trinity Hunt Partners of Dallas, Texas) in connection with acquisition, “follow-on” and sale transactions for portfolio companies involved in various industries, including manufacturing and sales, business services, healthcare services, industrial services and other service industries.
  • Recent transactions for Trinity Hunt Partners have included the acquisition of Miller Environmental Services, Mid-America Pet Foods, Deposition Solutions (dba LEXITAS) and America’s Auto Auction, as well as dispositions of Starplex Cinemas (to AMC Theaters), Lakeview Health Holdings and Castlewood Treatment Centers.
  • Represents private companies in obtaining venture capital and bank financings. Current representation includes the owner and operator of numerous urgent care clinics.
  • Represents private companies, often in the health care industry, in sale transactions to either strategic or financial buyers, including representation of selling owners to private equity funds in negotiating the terms of retained ownership positions. Recent transactions have included representing owners in the sale of Texan Urgent Care Centers, Sports & Physical Therapy Associates, and Manhattan Pain & Spine, PC, as well as the recapitalization of Igenex, Inc., which was awarded the M&A Atlas Awards’ 2016 Healthcare Deal of the Year
  • Representation of Hunt Sports Group of Dallas, Texas in its sale of the Columbus Crew Major League Soccer franchise.
  • Represents Blackhawk Network Holdings, Inc., a leading prepaid payment network, in its acquisition of various companies in the corporate, retail and employee gift and reward cards marketplace.
  • Representation of Pecos Gathering and Marketing, Black Hawk Gathering and Striker Oilfield Services in their sale to NGL Energy Partners.
  • Representation of Composite Engineering, Inc. in its sale to Kratos Defense & Security Solutions Inc. (transaction was recognized as the Aerospace and Defense "Deal of the Year - 2012”).
  • Representation of ZaZa Energy Corporation, an exploration and production company, in its initial offering of common stock following its merger with Toreador Corporation, in its convertible notes offering and its issuance of senior secured notes and warrants.
  • Representation of leading national waste management company in several strategic acquisitions.
  • Representation of numerous private companies in sale transactions to either industry or financial buyers.

Capital Markets

  • Representation of Borden Dairy Company in an equity recapitalization in which ACON Investments, L.L.C. became an equity holder in Borden.
  • Representation of BMO Capital Markets Corp. in its capacity as the sales agent in the establishment of an at-the-market program for common shares.
  • Representation of a Dow 30 company in several public offerings of debt securities.
  • Representation of a NASDAQ registrant in connection with its $96 million initial public offering.
  • Representation of Ashford Hospitality Trust, Inc. (NYSE: AHT) in both common and preferred stock offerings.
  • Representation of Ashford Hospitality Trust, Inc. (NYSE: AHT) in the spin-off of certain assets to Ashford Hospitality Prime, Inc. (NYSE: AHP).
  • Representation of Capstead Mortgage Corporation (NYSE: CMO) in preferred stock offerings.
