Patricia is an experienced commercial projects lawyer advising clients on the full life cycle of energy and infrastructure projects, from acquisition and financing to project development. Patricia focuses her practice on LNG, upstream/midstream energy, power and construction. She advises sponsors, developers, government authorities, major E&P companies, independent E&P companies and contractors on innovative and complex projects in the Middle East, Africa, Asia, the Americas and Australia.

Patricia has advised on several “first-of-a-kind” projects. She is particularly familiar with market practice in the energy and infrastructure industries throughout the Middle East and Africa, and advises clients on risk management accordingly. She has considerable experience leading negotiations and drafting project agreements in energy rich countries such as Iraq, UAE, Kuwait, Egypt, Qatar and Oman.

Patricia counsels on both the commercial aspects of a project (structuring and drafting mergers and acquisitions and joint ventures) and transactional contracts (including time charter party agreements, production sharing agreements, joint operating agreements, gas/LNG sales agreements, and EPC contracts).

Representative Experience

  • FSRU vessel charter and EPC contracts for Abu Dhabi’s first offshore LNG import and regasification project
  • An oil development and production service contract in Iraq
  • A production sharing agreement in East Africa
  • LNG tolling agreements for an LNG export terminal project

  • Concessions, production sharing contracts and joint operating agreements for oil and gas projects in the Middle East (including the UAE, Qatar, Kuwait and Jordan), Africa (including Tanzania, Guinea-Bissau, Tunisia, Libya, Egypt and Mozambique) and South Asia (including Pakistan and India)
  • Commercial structuring and project contracts for the largest planned onshore LNG import terminal in the United Arab Emirates, including the LNG terminal and tank EPC contracts, FSRU time charter party agreements and natural gas sales agreements
  • Bid advice for EGPC and Ganope exploration and production licensing rounds in Egypt
  • Advice on Iraq (including Kurdistan) oil and gas licensing rounds
  • Master LNG sales agreements and long-term LNG sale and purchase agreements for a UAE government offtaker
  • Development and financing of power projects (conventional and renewable)
  • Commercial bank and multilateral development bank financings

  • USD 200 million acquisition of an E&P company with assets in the Cauvery Basin, India
  • USD 650 million sale of a subsidiary with producing assets in Mozambique
